Should I sign this settlement agreement (vaststellingsovereenkomst)?

Whether signing is in your interest depends entirely on the contents of the agreement, the facts of your situation, and what you could realistically obtain by not signing (e.g., via UWV procedure or the kantonrechter). 2. Mandatory checklist — what every proper vaststellingsovereenkomst must contain
Run through this list before you sign anything. Missing items are red flags:
A. Identity, ground, and end date
- Full identification of both parties and the arbeidsovereenkomst.

D. Restrictions and ancillary clauses
- Concurrentiebeding / relatiebeding — does this survive the termination? Under art. 7:653 lid 4 BW, if the dismissal is the fault of the employer, the non-compete cannot be enforced. This is a common trap.

3. Critical risk areas — where signing can really hurt you
Risk 1 — Signing while ill (ziekte)
This is the single most important scenario:
- During the first 2 years of illness, the employer generally cannot dismiss under art. 7:670 lid 1 BW.
- By signing a vaststellingsovereenkomst you give written consent (art. 7:670a lid 2 sub a BW), which removes that protection.
- After signing while ill:
- You lose the right to loondoorbetaling (art. 7:629 BW).
- You generally lose the right to a Ziektewetuitkering (no employer = no ZW via UWV).
- You will likely be deemed verwijtbaar werkloos by UWV — meaning no WW-uitkering, because you cannot meet the obligation to seek and accept suitable work.
- The consistent advice is therefore: do not sign a settlement agreement while ill within the first two years without specialist review.
Risk 2 — WW-uitkering (unemployment benefit)
A vaststellingsovereenkomst can preserve your WW right, but only if drafted correctly. UWV will refuse or cut your WW if:
- The wording suggests you initiated the termination;
- There is a gap between the end date and the fictieve opzegtermijn (see below);
- You are ill at the end date;
- You received a settlement that UWV considers "vergoeding" covering months you could have worked.
The fictieve opzegtermijn is critical. Risk 3 — The transitievergoeding is a floor, not a ceiling
Art. 7:673 BW entitles you to a minimum of ⅓ × maandsalaris × dienstjaren, capped at € 102,000 (2026) or 1 yearly salary, whichever is higher. In a negotiated settlement you can — and often should — ask for more (a so-called "billijke vergoeding" or higher settlement). Common reasons to negotiate higher:
- Employer acted improperly (no proper consultation, performance issues were never raised, no herplaatsingsplicht complied with under art. 7:669 BW);
- Long service;
- Age (≥50) reduces chances of re-employment;
- Defects in the dismissal procedure the employer wants to bury.
Risk 4 — Final discharge clause (finale kwijting)
A "finale kwijting" releases the employer from all claims. Once signed, you generally cannot later claim additional transition pay, unpaid bonuses, or damages — even if you later discover you were underpaid. Make sure any open items are calculated, paid, and explicitly carved out of the kwijting.
